Terms & Conditions

1. Agreement and Definitions

These Terms and Conditions (the “Terms”) govern every purchase of Goods from Global Sip LLC (“Global Sip,” “we,” “us” or “our”) and every use of globalsipus.com (the “Site”). By using the Site, placing an order, or accepting delivery of Goods, you agree to these Terms. If you do not agree, do not use the Site or buy from us.

Global Sip is an importer and distributor of distinctive cultural, natural and specialty non-alcoholic beverages from outside the United States. We bring brands to the U.S. market that are not widely available here. We sell directly to consumers online and to businesses through wholesale accounts and authorized distribution partners.

  • “Goods” means the beverages and related products we sell, whether imported by us or sourced in the U.S.
  • “You” or “Customer” means any person or business that uses the Site or buys Goods from us.
  • “Consumer” means a Customer buying for personal, family or household use.
  • “Trade Customer” means a retailer, restaurant, wholesaler or other business buying Goods for resale or commercial use.
  • “Brand Owner” means the foreign producer or manufacturer of a Good that we import.

Where a section applies only to Consumers or only to Trade Customers, it says so. Otherwise it applies to everyone.

2. Imported Products

Importer of record. For Goods we import, Global Sip acts as importer of record. We clear the Goods through U.S. Customs and Border Protection and register as required with the U.S. Food and Drug Administration (FDA). We work to meet applicable federal and state food labeling and safety rules.

Brand Owners make the products. We do not manufacture, brew, bottle or formulate the Goods. Each Good is made by its Brand Owner in its country of origin. The Brand Owner controls the recipe, ingredients, production and original packaging.

Labels and translations. Imported Goods may carry original foreign-language packaging together with a U.S. compliance label we or the Brand Owner apply. If the original packaging and the U.S. label differ, the U.S. label controls. Product descriptions, translations and serving ideas on the Site are for general information only.

Country of origin. The country of origin is shown on the label and, where practical, on the product page.

Natural variation. Many of our Goods are made with natural or traditional ingredients and methods. Color, flavor, sediment, cloudiness and carbonation may vary between batches. Such variation is not a defect.

Availability. Imported Goods depend on overseas production, international shipping and customs clearance. Delays, shortages and discontinued items can happen outside our control. We may substitute packaging or sizes, or cancel and refund an order, when a Good is not available.

Allergens and dietary needs. Always read the label before consuming. If you have an allergy, sensitivity, medical condition, or are pregnant or nursing, check with your doctor first. We cannot guarantee a Good was made in a facility free of any particular allergen.

3. Online Orders, Pricing and Payment

Eligibility. You must be at least 18 years old to order on the Site. We ship only to addresses in the United States unless the Site says otherwise.

Order acceptance. Your order is an offer to buy. A confirmation email means we received it, not that we accepted it. We accept the order when we ship the Goods. We may refuse or cancel any order, limit quantities, or refuse orders that appear to be for unauthorized resale. If we cancel after you were charged, we refund you in full.

Prices and errors. Prices are in U.S. dollars and may change without notice. Shipping, handling and applicable sales tax are added at checkout. If a price, image or description on the Site is wrong, we may correct it and cancel affected orders, even after confirmation.

Payment. We accept the payment methods shown at checkout. You confirm you are authorized to use the payment method you provide. Payment is charged when you place your order unless the checkout says otherwise.

Promotions. Discount codes and promotions apply only as stated, cannot be combined unless stated, have no cash value, and may end at any time.

4. Shipping and Delivery

Delivery times are estimates. We ship by third-party carriers. Delivery dates shown are estimates, not guarantees. We are not responsible for carrier delays, weather, or other events outside our control.

Risk of loss. For Consumers, risk of loss passes to you when the carrier delivers the package to your shipping address. For Trade Customers, risk of loss and title pass on delivery to your premises or to your designated carrier, whichever is first.

Correct address. You are responsible for giving a correct and complete address. Packages returned because of a wrong address or refused delivery may be refunded less shipping costs.

Temperature and storage. Some beverages are sensitive to heat and cold. Please bring packages inside promptly and store Goods as the label directs. We are not responsible for spoilage caused by improper storage after delivery.

5. Returns, Damaged Goods and Refunds

Because our Goods are food and beverage products, we cannot resell opened or used items. All sales are final except as stated below.

Online orders (Consumers)

  1. Report damaged, leaking, broken or wrong items within 7 days of delivery by emailing [email protected], with your order number and photos of the item and packaging.
  2. If we confirm the problem, we will, at our choice, send a replacement or refund the price of the affected item. We may ask you to return the item first.
  3. Unopened, undamaged items may be returned within 14 days of delivery for a refund of the item price, less original shipping. You pay return shipping unless the return is our error.
  4. We do not accept returns of opened items, items damaged after delivery, or items bought on clearance or final sale.

Wholesale orders (Trade Customers)

  1. Inspect Goods on delivery and note any shortage or visible damage on the delivery receipt.
  2. Report hidden damage or defects in writing within 5 business days of delivery.
  3. No credit is issued for returns or damaged Goods without a pickup or return authorization signed or issued by Global Sip. We do not accept returns more than 60 days after delivery.
  4. Where you did not cause the damage, we will, at our choice, replace the Goods or credit or refund the price paid.

The remedies in this section are your only remedies for damaged, defective or non-conforming Goods.

6. Wholesale and Trade Accounts

This section applies only to Trade Customers.

Payment terms. New wholesale accounts must pay in full before delivery or cash on delivery (COD). After you complete a credit application and we approve it in writing, your account receives Net 30 terms: each invoice is due 30 days from the date of delivery, not the invoice date. We may change or withdraw credit terms at any time, for example after late payment, and return your account to prepayment or COD.

Late payment. Balances unpaid 45 days or more after delivery accrue interest at the lesser of 1.5% per month or the highest rate allowed by law. We may also charge a reasonable service fee, never above the legal maximum, and may pause further shipments until your account is current.

Statements. We send periodic account statements. If you do not dispute a statement in writing within 10 days of receiving it, you accept it as accurate.

Checks. If you pay by check, we may deposit it electronically or convert it to an electronic funds transfer. Your original check will not be returned and will be destroyed after the deposit clears. If your bank returns a check for any reason, we may redeposit it, and you agree to pay any fees we incur as a result.

Security interest. Until the Goods are paid for in full, you grant Global Sip a purchase money security interest in the Goods, their accessions and replacements, and all proceeds, including insurance proceeds. You authorize us to file any financing statement needed to perfect that interest under the Uniform Commercial Code.

Collection costs. If you fail to pay when due, you agree to pay our reasonable attorneys' fees and other costs of collection, in addition to any other remedies we have.

7. Distribution Partners and Resale

Third-party distributors. In some regions, Global Sip appoints independent distributors to sell and deliver our Goods to stores and businesses. These distributors are separate companies, not our agents. If you buy from a distributor, that distributor’s own terms of sale apply to that purchase. Questions about those orders, deliveries or invoices should go to that distributor first.

Our online store. Orders placed on the Site are sold and fulfilled by Global Sip directly, under these Terms.

Resale restrictions. Goods bought on the Site are for personal use. You may not resell them on Amazon, Walmart, TikTok Shop, eBay or any other online marketplace without our prior written approval. Trade Customers may resell Goods only through the channels approved in writing by Global Sip. We may cancel orders or close accounts that violate this section.

Brand protection. You may not repackage, relabel, alter or remove labels, lot codes or date codes from any Good.

8. Recalls and Product Safety

Recalls. If a Good is recalled or withdrawn by us, a Brand Owner, the FDA or another authority, we will notify affected Customers using the contact details we have. Consumers will receive a replacement, refund or credit as stated in the recall notice. Trade Customers must stop selling the affected Goods at once, cooperate with the recall, and keep records needed to trace lots they sold.

Reporting problems. If you believe a Good caused illness or injury, stop using it, keep the container and packaging, and contact us right away at [email protected]. Seek medical care when needed.

Storage by Trade Customers. Trade Customers must store, handle and rotate Goods as the label directs and must not sell Goods past their best-by or expiration date.

9. Warranties, Liability and Indemnity

Disclaimer of warranties. EXCEPT AS STATED IN SECTION 5, THE GOODS AND THE SITE ARE PROVIDED “AS IS.” TO THE FULLEST EXTENT ALLOWED BY LAW, GLOBAL SIP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. ANY WARRANTY ABOUT A GOOD’S RECIPE, INGREDIENTS OR PRODUCTION IS GIVEN, IF AT ALL, BY ITS BRAND OWNER. Some states do not allow these exclusions, so they may not apply to you.

Limitation of liability. TO THE FULLEST EXTENT ALLOWED BY LAW, GLOBAL SIP IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR USE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE GOODS GIVING RISE TO THE CLAIM. Nothing in these Terms limits liability for personal injury or other liability that cannot be limited by law.

Indemnification. Trade Customers agree to defend, indemnify and hold harmless Global Sip and its owners, employees and agents from claims, losses and costs (including reasonable attorneys' fees) arising from their improper storage, handling, relabeling or resale of Goods, or their breach of these Terms.

10. Website Use, Intellectual Property and Privacy

Use of the Site. You agree to use the Site only for lawful purposes and in line with these Terms and applicable law. You may not interfere with the Site, try to gain unauthorized access, or use bots or scrapers to collect content or prices.

Our content. The Site’s text, design, photos, videos, logos and other materials belong to Global Sip or are used under license. Brand names, logos and packaging designs of the Goods belong to their Brand Owners and are used with permission. You may view the Site for personal, non-commercial use. You may not copy, reproduce, distribute, modify or publicly display any of it without our prior written permission.

Accounts. If you create an account, keep your login details secure. You are responsible for activity under your account.

Third-party links. The Site may link to other websites, including Brand Owner sites. We provide links for convenience only and do not endorse or control those sites. Your use of them is at your own risk.

Privacy. Our Privacy Policy explains how we collect and use personal information. By using the Site, you agree to it.

11. Governing Law and General Terms

Governing law. These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules.

Where disputes are heard. Any lawsuit about these Terms or the Goods must be brought in the state or federal courts located in Kings County (Brooklyn), New York, and both parties consent to those courts. This does not limit any right a Consumer has under the laws of their home state.

Changes. We may update these Terms at any time by posting a new version on the Site. The version in effect when you place an order applies to that order.

Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including customs holds, port or shipping disruptions, supplier failures, natural disasters, government action or labor disputes.

Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver of it.

Entire agreement. These Terms, together with any signed wholesale or credit agreement, are the entire agreement between you and Global Sip. If a signed agreement conflicts with these Terms, the signed agreement controls.
